POL's requirements under this project are subject to the Public Contracts Regulation 2006, as amended (PCR)only in so far as POL needs to purchase the goods to be branded and the advisory services it requires forthe first of its retail channels (the Crown branches). POL does not expect to purchase any goods or services under the other two channels. Under this project POL expects to licence the preferred supplier with its valuable trademark for them to produce the branded goods and sell them on to the market by undertaking the entire operation and paying back to POL a licence fee /commission based on the annual sales turnover generated by each of channels 2 and 3. POL however needs to appoint a single supplier to provide all three channels and has therefore decided totender for a single contract covering all three requirements of the project. POL will therefore test and select candidate suppliers on their ability to deliver each one of the three channels and the project as a whole. Goods to be offered for sale include the following: stationery, mailings solutions, office supplies, greetings cards (seasonal and non seasonal), collectable products (i.e. Royal Mint coins) and travel accessories. POL reserves the right (option) to limit or vary the exact product offering around these product categories, following appropriate reviews. In addition to the sale of goods, the preferred supplier will also provide retail and merchandising advisory services to facilitate POL's operations under the first channel. Retail Channels (Routes to Market): The three channels are further described below: -- POL Crown network (up to 374 Branches in the UK), -- on-line (www.postoffice.co.uk), -- wholesale. (A) Supply of goods and retail services to the POL crown branch (374) network. POL, wants to purchase goods, as described above for sale to the general public in its crown branch network (please note that the number of crown branches may vary). In addition to goods to be purchased for retail sale, the successful supplier will provide the following services to POL in connection with sales through the crownnetwork: -- retail pricing, -- promotional activity management, -- branch profiling (relevant goods), -- merchandising services (e.g. marketing, advertising, etc), -- responsibility for Stock re-ordering and branch replenishment, -- responsibility for product strategy in partnership with POL in line with POL's PCR obligations, -- POL will remain responsible for the direct sales transaction with the customer/consumer. The goods supplied to the Crown network will be paid for by POL upon delivery to the crown branches (subject to agreed terms and conditions) with POL paying the supplier an agreed price based upon cost of sale. (B) Stand alone On-line Webshop linked to www.postoffice.co.uk. POL will require the supplier to launch an on-line shop for the sale by POL of the goods set out above including POL branded stationary and merchandise (the "Webshop"). The successful supplier will be responsible andliable for the following: -- design, build and operate a fully managed 'white labelled' Post Office Limited Webshop, -- product pricing & promotion, -- product strategy (in co-operation with POL), -- marketing and advertising for the Webshop, -- operating the Webshop as a fully POL branded site (with no reference made to the operator or designer), giving the customers a seamless customer experience and allowing access to the Webshop for the estimated 22 000 000 p.a. visitors of the POL web-site (www.postoffice.co.uk site), -- sourcing and making available the relevant goods set out above on the Webshop, -- managing all customers and their transactions (product and payment), -- full pre and after sales support, -- fulfilment and dispatch of goods purchased on the Webshop across the United Kingdom, -- all operational and infrastructure costs associated with the Webshop, -- all risks otherwise associated with the operation of a normal retail website and any stock held for its operations. (For the avoidance of doubt POL will not be liable for any non performance or non sale of branded or non branded goods on sale in the Webshop). POL will not pay any consideration for the setting up, operating and marketing of the Webshop. POL will receivea percentage on the sales carried out on the Webshop as a licence fee for its brand used on the goods to be sold. (C) Wholesale channel (within the UK). POL seeks to licence its POL trade mark to a supplier, who will sell and market a range of POL branded stationary and packaging solutions to the relevant UK retail markets. The successful supplier/Wholesaler (in that instance) is expected to be responsible for: -- product sourcing, -- sales, distribution and merchandising in the retail market place (potentially being, but not limited to HighStreet retail and the POL Ltd sub post master network), -- retail customers relationships, -- marketing and advertising (where necessary and applicable), -- pre and after sales support. In return for the third party use of the POL trade mark, POL will seek a commission (percentage) based uponsales of the POL branded products. For the avoidance of doubt POL accepts no liability for any non performance or non sale of branded or nonbranded products on sale or any stock sourced by the successful supplier. POL expects to contract with a single wholesaler who will be in a position to provide significant downstream coverage across the UK.
